VENDOR ONBOARDING AGREEMENT

This Vendor Onboarding Agreement (“Agreement”) is entered into between Naseem Bazaar (the “Marketplace”) and the registering vendor (the “Vendor”).
1. Acceptance & Binding Effect
By clicking “I AGREE”, registering, or using the platform, the Vendor:
- Enters into a legally binding agreement
- Accepts the Vendor Terms & Conditions (“Vendor Contract”)
- Agrees to electronic records and communication
2. Marketplace Role
The Vendor expressly acknowledges:
- Naseem Bazaar is a technology platform and intermediary only
- It does not own, manufacture, stock, or sell products
- All transactions are direct contracts between Vendor and Customer
The Vendor bears full responsibility for:
- products
- fulfillment
- delivery
- returns
- legal compliance
⚠️ Payments collected by the Marketplace are on behalf of the Vendor.
3. KYC & Verification (MANDATORY)
Vendor must provide:
- Valid CNIC / business registration documents
- Bank account details
- Accurate identity and contact information
The Vendor confirms:
- All information is true, complete, and verifiable
- Fake or misleading information may result in:
- immediate suspension
- permanent ban
- legal reporting if required
4. Commission & Financial Terms
4.1 Commission
- Marketplace charges 20% commission per order
- Deducted automatically before payout
4.2 Withholding Tax
- 1% withholding tax is deducted on withdrawals
- As per applicable FBR regulations
5. Payment Holding & Settlement
5.1 Holding Period
All payments are held for 14 days from order completion:
- First 7 days → customer refund window
- Next 7 days → Vendor response window
5.2 Release of Funds
Funds become eligible for withdrawal after 14 days
Subject to:
- no active dispute
- no refund claim
- no policy violation
6. Post-Payout Liability
Even after payout:
Vendor remains fully liable for:
- refunds
- disputes
- chargebacks
- legal claims
The Marketplace reserves the right to:
- Recover amounts from Vendor
- Deduct from future earnings
- Initiate legal recovery if required
7. Platform Enforcement Rights
Marketplace may:
- Hold or delay payouts
- Deduct refunds or penalties
- Remove listings
- Suspend or terminate accounts
All decisions are final and binding for platform operations
8. Acceptance Record
Marketplace may log:
- IP address
- device/browser
- timestamp
- agreement version
9. Governing Law
Laws of Pakistan apply.

1. Nature of Agreement
This Agreement governs Vendor participation on Naseem Bazaar.
By using the platform, Vendor agrees to all policies and enforcement mechanisms.
2. Marketplace Role
Naseem Bazaar:
- Is NOT a seller
- Is NOT a party to transactions
- Provides only:
- technology
- payment facilitation
- support tools
⚠️ Vendor is the sole seller of record.
3. Vendor Obligations
Vendor is fully responsible for:
- Product authenticity & legality
- Accurate listings
- Inventory availability
- Order fulfillment
- Shipping & delivery
- Returns & refunds
4. Platform Workflow
Vendor agrees to operate within platform system, including:
- Order dashboard handling
- Status updates
- Shipping confirmation
- Return approvals
Failure to act within system timelines may result in automatic actions by Marketplace.
5. Refund & Return System
- All refunds are issued as store credits (wallet only)
- No cash / bank refunds
Vendor must:
- Respond within SLA
- Approve valid claims
- Accept Marketplace intervention
6. Disputes & Forced Actions
If Vendor fails to act:
Marketplace may:
- Approve returns
- Issue refunds
- Deduct amounts from Vendor
Vendor agrees to accept such actions without dispute.
7. Payment, Deductions & Recovery Rights
Marketplace may deduct from Vendor payouts:
- commissions
- refunds
- penalties
- disputes
- chargebacks
If balance is insufficient:
- Vendor must pay outstanding amount on demand
- Marketplace may pursue recovery
8. Shipping & Delivery
Vendor is fully responsible for:
- packaging
- courier handling
- delivery
Marketplace has zero liability for:
- delays
- damage
- lost shipments
9. SLA & Performance Monitoring
Vendor performance is monitored based on:
- response time
- dispatch time
- refund handling
- complaints
Marketplace may:
- downgrade visibility
- restrict account
- suspend Vendor
10. Prohibited Activities
Strictly prohibited:
- counterfeit products
- illegal goods
- misleading listings
- platform bypass (direct deals with customers)
Violation = immediate enforcement.
11. KYC & Compliance
Vendor must:
- maintain valid documentation
- update details when required
Failure = suspension.
12. Limitation of Liability (VERY STRONG)
To the maximum extent permitted by law:
Naseem Bazaar shall not be liable for:
- Vendor actions or negligence
- product quality or defects
- delivery failures
- customer disputes
- indirect or consequential damages
13. Indemnity
Vendor agrees to indemnify and hold harmless Naseem Bazaar against:
- customer claims
- legal disputes
- regulatory penalties
- financial losses
14. Suspension & Termination
Marketplace may suspend or terminate Vendor for:
- SLA violations
- fraud
- abuse
- customer complaints
15. Governing Law
Laws of Pakistan apply.
