Acceptance &amp; Binding Effect<\/h2><p data-path-to-node=\"6\">By clicking \u201cI AGREE\u201d, registering, or using the platform, the Vendor:<\/p><ul><li data-path-to-node=\"7,0,0\">Enters into a legally binding agreement<\/li><li data-path-to-node=\"7,1,0\">Accepts the Vendor Terms &amp; Conditions (\u201cVendor Contract\u201d)<\/li><li data-path-to-node=\"7,2,0\">Agrees to electronic records and communication<\/li><\/ul><h2 data-path-to-node=\"8\">2. Marketplace Role<\/h2><p data-path-to-node=\"9\">The Vendor expressly acknowledges:<\/p><ul><li data-path-to-node=\"10,0,0\">Naseem Bazaar is a technology platform and intermediary only<\/li><li data-path-to-node=\"10,1,0\">It does not own, manufacture, stock, or sell products<\/li><li data-path-to-node=\"10,2,0\">All transactions are direct contracts between Vendor and Customer<\/li><\/ul><p data-path-to-node=\"11\">The Vendor bears full responsibility for:<\/p><ul><li data-path-to-node=\"12,0,0\">products<\/li><li data-path-to-node=\"12,1,0\">fulfillment<\/li><li data-path-to-node=\"12,2,0\">delivery<\/li><li data-path-to-node=\"12,3,0\">returns<\/li><li data-path-to-node=\"12,4,0\">legal compliance<\/li><\/ul><p data-path-to-node=\"13\">\u26a0\ufe0f Payments collected by the Marketplace are on behalf of the Vendor.<\/p><h2 data-path-to-node=\"14\">3. KYC &amp; Verification (MANDATORY)<\/h2><p data-path-to-node=\"15\">Vendor must provide:<\/p><ul><li data-path-to-node=\"16,0,0\">Valid CNIC \/ business registration documents<\/li><li data-path-to-node=\"16,1,0\">Bank account details<\/li><li data-path-to-node=\"16,2,0\">Accurate identity and contact information<\/li><\/ul><p data-path-to-node=\"17\">The Vendor confirms:<\/p><ul><li data-path-to-node=\"18,0,0\">All information is true, complete, and verifiable<\/li><li data-path-to-node=\"18,1,0\">Fake or misleading information may result in:<ul><li data-path-to-node=\"18,1,1,0,0\">immediate suspension<\/li><li data-path-to-node=\"18,1,1,1,0\">permanent ban<\/li><li data-path-to-node=\"18,1,1,2,0\">legal reporting if required<\/li><\/ul><\/li><\/ul><h2 data-path-to-node=\"19\">4. Commission &amp; Financial Terms<\/h2><h3 data-path-to-node=\"20\">4.1 Commission<\/h3><ul><li data-path-to-node=\"21,0,0\">Marketplace charges 20% commission per order<\/li><li data-path-to-node=\"21,1,0\">Deducted automatically before payout<\/li><\/ul><h3 data-path-to-node=\"22\">4.2 Withholding Tax<\/h3><ul><li data-path-to-node=\"23,0,0\">1% withholding tax is deducted on withdrawals<\/li><li data-path-to-node=\"23,1,0\">As per applicable FBR regulations<\/li><\/ul><h2 data-path-to-node=\"24\">5. Payment Holding &amp; Settlement<\/h2><h3 data-path-to-node=\"25\">5.1 Holding Period<\/h3><p data-path-to-node=\"26\">All payments are held for 14 days from order completion:<\/p><ul><li data-path-to-node=\"27,0,0\">First 7 days \u2192 customer refund window<\/li><li data-path-to-node=\"27,1,0\">Next 7 days \u2192 Vendor response window<\/li><\/ul><h3 data-path-to-node=\"28\">5.2 Release of Funds<\/h3><p data-path-to-node=\"29\">Funds become eligible for withdrawal after 14 days<\/p><p data-path-to-node=\"29\">Subject to:<\/p><ul><li data-path-to-node=\"30,0,0\">no active dispute<\/li><li data-path-to-node=\"30,1,0\">no refund claim<\/li><li data-path-to-node=\"30,2,0\">no policy violation<\/li><\/ul><h2 data-path-to-node=\"31\">6. Post-Payout Liability<\/h2><p data-path-to-node=\"32\">Even after payout:<\/p><p data-path-to-node=\"32\">Vendor remains fully liable for:<\/p><ul><li data-path-to-node=\"33,0,0\">refunds<\/li><li data-path-to-node=\"33,1,0\">disputes<\/li><li data-path-to-node=\"33,2,0\">chargebacks<\/li><li data-path-to-node=\"33,3,0\">legal claims<\/li><\/ul><p data-path-to-node=\"34\">The Marketplace reserves the right to:<\/p><ul><li data-path-to-node=\"35,0,0\">Recover amounts from Vendor<\/li><li data-path-to-node=\"35,1,0\">Deduct from future earnings<\/li><li data-path-to-node=\"35,2,0\">Initiate legal recovery if required<\/li><\/ul><h2 data-path-to-node=\"36\">7. Platform Enforcement Rights<\/h2><p data-path-to-node=\"37\">Marketplace may:<\/p><ul><li data-path-to-node=\"38,0,0\">Hold or delay payouts<\/li><li data-path-to-node=\"38,1,0\">Deduct refunds or penalties<\/li><li data-path-to-node=\"38,2,0\">Remove listings<\/li><li data-path-to-node=\"38,3,0\">Suspend or terminate accounts<\/li><\/ul><p data-path-to-node=\"39\">All decisions are final and binding for platform operations<\/p><h2 data-path-to-node=\"40\">8. Acceptance Record<\/h2><p data-path-to-node=\"41\">Marketplace may log:<\/p><ul><li data-path-to-node=\"42,0,0\">IP address<\/li><li data-path-to-node=\"42,1,0\">device\/browser<\/li><li data-path-to-node=\"42,2,0\">timestamp<\/li><li data-path-to-node=\"42,3,0\">agreement version<\/li><\/ul><h2 data-path-to-node=\"43\">9. Nature of Agreement<\/h2><p data-path-to-node=\"6\">This Agreement governs Vendor participation on Naseem Bazaar.<\/p><p data-path-to-node=\"6\">By using the platform, Vendor agrees to all policies and enforcement mechanisms.<\/p><h2 data-path-to-node=\"7\">2. Marketplace Role<\/h2><p data-path-to-node=\"8\">Naseem Bazaar:<\/p><ul><li data-path-to-node=\"9,0,0\">Is NOT a seller<\/li><li data-path-to-node=\"9,1,0\">Is NOT a party to transactions<\/li><li data-path-to-node=\"9,2,0\">Provides only:<ul><li data-path-to-node=\"9,2,1,0,0\">technology<\/li><li data-path-to-node=\"9,2,1,1,0\">payment facilitation<\/li><li data-path-to-node=\"9,2,1,2,0\">support tools<\/li><\/ul><\/li><\/ul><p data-path-to-node=\"10\">\u26a0\ufe0f Vendor is the sole seller of record.<\/p><h2 data-path-to-node=\"11\">3. Vendor Obligations<\/h2><p data-path-to-node=\"12\">Vendor is fully responsible for:<\/p><ul><li data-path-to-node=\"13,0,0\">Product authenticity &amp; legality<\/li><li data-path-to-node=\"13,1,0\">Accurate listings<\/li><li data-path-to-node=\"13,2,0\">Inventory availability<\/li><li data-path-to-node=\"13,3,0\">Order fulfillment<\/li><li data-path-to-node=\"13,4,0\">Shipping &amp; delivery<\/li><li data-path-to-node=\"13,5,0\">Returns &amp; refunds<\/li><\/ul><h2 data-path-to-node=\"14\">4. Platform Workflow<\/h2><p data-path-to-node=\"15\">Vendor agrees to operate within platform system, including:<\/p><ul><li data-path-to-node=\"16,0,0\">Order dashboard handling<\/li><li data-path-to-node=\"16,1,0\">Status updates<\/li><li data-path-to-node=\"16,2,0\">Shipping confirmation<\/li><li data-path-to-node=\"16,3,0\">Return approvals<\/li><\/ul><p data-path-to-node=\"17\">Failure to act within system timelines may result in automatic actions by Marketplace.<\/p><h2 data-path-to-node=\"18\">5. Refund &amp; Return System<\/h2><ul><li data-path-to-node=\"19,0,0\">All refunds are issued as store credits (wallet only)<\/li><li data-path-to-node=\"19,1,0\">No cash \/ bank refunds<\/li><\/ul><p data-path-to-node=\"20\">Vendor must:<\/p><ul><li data-path-to-node=\"21,0,0\">Respond within SLA<\/li><li data-path-to-node=\"21,1,0\">Approve valid claims<\/li><li data-path-to-node=\"21,2,0\">Accept Marketplace intervention<\/li><\/ul><h2 data-path-to-node=\"22\">6. Disputes &amp; Forced Actions<\/h2><p data-path-to-node=\"23\">If Vendor fails to act:<\/p><p data-path-to-node=\"23\">Marketplace may:<\/p><ul><li data-path-to-node=\"24,0,0\">Approve returns<\/li><li data-path-to-node=\"24,1,0\">Issue refunds<\/li><li data-path-to-node=\"24,2,0\">Deduct amounts from Vendor<\/li><\/ul><p data-path-to-node=\"25\">Vendor agrees to accept such actions without dispute.<\/p><h2 data-path-to-node=\"26\">7. Payment, Deductions &amp; Recovery Rights<\/h2><p data-path-to-node=\"27\">Marketplace may deduct from Vendor payouts:<\/p><ul><li data-path-to-node=\"28,0,0\">commissions<\/li><li data-path-to-node=\"28,1,0\">refunds<\/li><li data-path-to-node=\"28,2,0\">penalties<\/li><li data-path-to-node=\"28,3,0\">disputes<\/li><li data-path-to-node=\"28,4,0\">chargebacks<\/li><\/ul><p data-path-to-node=\"29\">If balance is insufficient:<\/p><ul><li data-path-to-node=\"30,0,0\">Vendor must pay outstanding amount on demand<\/li><li data-path-to-node=\"30,1,0\">Marketplace may pursue recovery<\/li><\/ul><h2 data-path-to-node=\"31\">8. Shipping &amp; Delivery<\/h2><p data-path-to-node=\"32\">Vendor is fully responsible for:<\/p><ul><li data-path-to-node=\"33,0,0\">packaging<\/li><li data-path-to-node=\"33,1,0\">courier handling<\/li><li data-path-to-node=\"33,2,0\">delivery<\/li><\/ul><p data-path-to-node=\"34\">Marketplace has zero liability for:<\/p><ul><li data-path-to-node=\"35,0,0\">delays<\/li><li data-path-to-node=\"35,1,0\">damage<\/li><li data-path-to-node=\"35,2,0\">lost shipments<\/li><\/ul><h2 data-path-to-node=\"36\">9. SLA &amp; Performance Monitoring<\/h2><p data-path-to-node=\"37\">Vendor performance is monitored based on:<\/p><ul><li data-path-to-node=\"38,0,0\">response time<\/li><li data-path-to-node=\"38,1,0\">dispatch time<\/li><li data-path-to-node=\"38,2,0\">refund handling<\/li><li data-path-to-node=\"38,3,0\">complaints<\/li><\/ul><p data-path-to-node=\"39\">Marketplace may:<\/p><ul><li data-path-to-node=\"40,0,0\">downgrade visibility<\/li><li data-path-to-node=\"40,1,0\">restrict account<\/li><li data-path-to-node=\"40,2,0\">suspend Vendor<\/li><\/ul><h2 data-path-to-node=\"41\">10. Prohibited Activities<\/h2><p data-path-to-node=\"42\">Strictly prohibited:<\/p><ul><li data-path-to-node=\"43,0,0\">counterfeit products<\/li><li data-path-to-node=\"43,1,0\">illegal goods<\/li><li data-path-to-node=\"43,2,0\">misleading listings<\/li><li data-path-to-node=\"43,3,0\">platform bypass (direct deals with customers)<\/li><\/ul><p data-path-to-node=\"44\">Violation = immediate enforcement.<\/p><h2 data-path-to-node=\"45\">11. KYC &amp; Compliance<\/h2><p data-path-to-node=\"46\">Vendor must:<\/p><ul><li data-path-to-node=\"47,0,0\">maintain valid documentation<\/li><li data-path-to-node=\"47,1,0\">update details when required<\/li><\/ul><p data-path-to-node=\"48\">Failure = suspension.<\/p><h2 data-path-to-node=\"49\">12. Limitation of Liability (VERY STRONG)<\/h2><p data-path-to-node=\"50\">To the maximum extent permitted by law:<\/p><p data-path-to-node=\"50\">Naseem Bazaar shall not be liable for:<\/p><ul><li data-path-to-node=\"51,0,0\">Vendor actions or negligence<\/li><li data-path-to-node=\"51,1,0\">product quality or defects<\/li><li data-path-to-node=\"51,2,0\">delivery failures<\/li><li data-path-to-node=\"51,3,0\">customer disputes<\/li><li data-path-to-node=\"51,4,0\">indirect or consequential damages<\/li><\/ul><h2 data-path-to-node=\"52\">13. Indemnity<\/h2><p data-path-to-node=\"53\">Vendor agrees to indemnify and hold harmless Naseem Bazaar against:<\/p><ul><li data-path-to-node=\"54,0,0\">customer claims<\/li><li data-path-to-node=\"54,1,0\">legal disputes<\/li><li data-path-to-node=\"54,2,0\">regulatory penalties<\/li><li data-path-to-node=\"54,3,0\">financial losses<\/li><\/ul><h2 data-path-to-node=\"55\">14. Suspension &amp; Termination<\/h2><p data-path-to-node=\"56\">Marketplace may suspend or terminate Vendor for:<\/p><ul><li data-path-to-node=\"57,0,0\">SLA violations<\/li><li data-path-to-node=\"57,1,0\">fraud<\/li><li data-path-to-node=\"57,2,0\">abuse<\/li><li data-path-to-node=\"57,3,0\">customer complaints<\/li><\/ul><h2 data-path-to-node=\"58\">15.
